terms and conditions

Cost Variation
Quotations are based on current costs of production and are subject to amendment by Spatial Imaging on or at any time after acceptance to meet any rise in costs. Quotations may be reviewed on receipt of client-supplied artwork.
Estimates and quotations are valid for 30 days.

Taxes
Spatial Imaging shall be entitled to charge the amount of any VAT or other taxes payable whether or not included in the quotation or invoice.

Preliminary Work
Work produced, whether experimental or otherwise, at the customer's request will be charged for. No work will be undertaken on a speculative basis unless agreed in writing by Spatial Imaging.

Artwork
Artwork produced by Spatial Imaging shall remain their property and no use shall be made or ideas taken from that artwork by the customer except where Spatial Imaging agrees a payment in writing.

Delivery & Payment
Spatial Imaging shall be entitled to charge the customer for the full amount of any delivery costs whether or not included in the quotation or invoice.
Should the customer require special delivery then Spatial Imaging will be entitled to charge at a premium rate.
Should work in progress be suspended at the request of or delayed through any fault of the customer for 30 days then Spatial Imaging will be entitled to charge for work carried out and materials ordered.
Experimental work is undertaken at the risk of the client and will be charged for irrespective of outcome.

Material Supplied by Customer
Spatial Imaging may reject any materials supplied by the customer, which appear to be unsuitable. Additional costs of replacing such materials will be charged to the customer. Quotations may be reviewed on receipt of client-supplied artwork.
Where defective work is produced as a result of unsuitable materials supplied by the customer Spatial Imaging will accept no responsibility for such work and the customer will remain liable in full for costs incurred.
Quantities of materials supplied shall be adequate to cover normal wastage.
Spatial Image shall accept no responsibility for the loss or damage of materials supplied by the customer.

Claims
Claims arising from damage or delay, or partial loss or goods in transit must be made in writing to Spatial Imaging and the carrier so as to reach them within 3 days of delivery. Claims for non-delivery must be made within 28 days of despatch of goods. The customer must accept a possible over run or under run of 5%.
All other claims must be made within 10 days of delivery.

Liability
Spatial Imaging shall not be liable for direct or indirect loss or third party claims associated by delay in completing any work or for any loss to the customer or third party arising from delays in production or transit.
Where work is defective for any reason, including negligence, Spatial Imaging's liability shall be limited to rectifying such defects.

Copyright
Copying or reproducing work produced by Spatial Imaging shall remain the right of Spatial Imaging unless explicitly agreed otherwise with the customer.
Spatial Imaging grants the license to use work only for the use for which it was originally agreed and intended.
Spatial Imaging reserves the right to use photographs, copies or mention the work for their own promotional material unless explicitly agreed otherwise with the customer.

General Lien
Without prejudice to other remedies, Spatial Imaging shall in respect of all unpaid debts due from the customer, have a general lien on all goods or property such as it thinks fit and to apply any proceeds towards such debts.

Illegal Matter
Spatial Imaging shall not be required to handle any matter, which in its opinion is or may be or an illegal nature.
Spatial Imaging shall be indemnified by the customer in respect of any claim, costs or expenses arising out of any libellous matter printed for the customer or any infringement of copyright, patent or design.

Force Majeure
Every effort will be made to carryout the contract but its due performance is subject to cancellation by spatial Imaging or to such a variation as it finds necessary as a result of inability to secure labour, materials or supplies or as a result of act of god, war, strike, lockout or other labour dispute, fire, flood, drought, legislation or other cause (whether in the foregoing class or not) beyond the company's control.

Law
These conditions and all other express terms of the contract shall be governed and constructed in accordance with the Laws of England.
